Tigray Announces Acquisition of the 795 Square Kilometre Harvest North Properties in Ethiopia

VANCOUVER, BRITISH COLUMBIA--(Marketwire - Dec. 19, 2011) - Tigray Resources Inc. (TSX VENTURE:TIG) ("Tigray" or the "Company") is pleased to announce it has entered into a non-binding agreement with respect to a three-year option to acquire up to an 80% interest in the Harvest North properties from an arm's length party. The Harvest North properties cover 795 square kilometres immediately adjacent north and west of Tigray's existing Harvest project in Ethiopia.

Tigray's President and CEO Andrew Lee Smith said, "We are encouraged by the first set of drill results at our Harvest project in Ethiopia, which were released on December 12 and included a highlight hole of 73.8 metres of 3.8% copper, 1.3 grams per tonne gold and 14 grams per tonne silver. The acquisition of Harvest North takes our land position to more than 1,100 square kilometres and establishes Tigray as the dominant land holder in this promising new region."

Under the terms of the agreement, Tigray will have the option to acquire up to an undivided 80% interest in the Harvest North properties in two phases, allowing Tigray to conduct exploration to develop a comprehensive assessment of the mineral potential of the properties. The first phase will allow Tigray to earn a 55% interest in exchange for (a) the payment of $300,000 in cash and the issuance of 300,000 Tigray shares on receipt of TSX Venture Exchange (the "Exchange") approval, and (b) an additional payment of $300,000 in cash and the issuance of an additional 300,000 Tigray shares on the first anniversary of the Exchange approval date. The second phase will allow Tigray to earn an additional 25% interest in exchange for (a) the payment of $300,000 in cash and the issuance of an additional 1,000,000 Tigray shares on the second anniversary of the Exchange approval date, and (b) the issuance of an additional 1,000,000 Tigray shares on the third anniversary of the Exchange approval date. Further, on receipt of a positive feasibility study, Tigray will issue an additional 1,000,000 shares to the optionor, and upon commencement of commercial production, Tigray will issue an additional 500,000 shares to the optionor. The optionor may elect to convert the remaining 20% interest into a 2% net smelter royalty (NSR), and Tigray will have the option to buy back 1% of the NSR for $5 million in cash.

The acquisition is subject to Exchange approval and standard conditions, including satisfactory due diligence and entering into a definitive agreement within 45 days.
